These terms cover your use of Midnight Forge Creator Studio ("the app"), operated by Midnight Forge Creative Services ("we", "us"). By using the app you agree to them. If you do not agree, please do not use the app.
The app helps you write songs and build prompts for AI music generators such as Suno and Udio. It writes lyrics, style descriptions, arrangements, artwork and related material using artificial intelligence.
The app does not generate audio. It produces text and images you take to a separate music service. Any subscription you hold with that service is a separate agreement between you and them, and is not included in what you pay us.
We offer three ways to pay. Prices are shown in the app and may change for new purchases, but a change never alters what you have already bought.
Payments are handled by Stripe. We never see or store your card details.
Lifetime access means for as long as the app continues to operate - not for the lifetime of the buyer, and not a guarantee that the app will run forever.
We intend to keep the app running. But if we ever have to shut it down, lifetime access ends with it. If that happens we will:
Lifetime access is personal to you and cannot be transferred or resold.
Every plan includes a generous but finite amount of AI usage, because each generation costs us money. Current allowances are shown in the app. If you reach an allowance we will tell you and offer either a top-up or the option to supply your own API key. We will not charge you for extra usage without asking first.
We may apply reasonable limits to prevent automated abuse, resale of access, or usage far beyond normal individual songwriting.
We are unlikely to refund because a particular set of lyrics or a particular generated track was not to your taste. The free trial exists so you can judge the app before paying.
The lyrics, prompts, artwork and other material you create with the app are yours. We claim no ownership of them and no royalty on anything you release.
Two things to be aware of:
Do not use the app to produce material that is unlawful, that harasses or defames a real person, that infringes someone else's copyright, or that impersonates a real artist in a way intended to deceive. Do not attempt to break, overload, or reverse-engineer the service, or resell access to it.
The app deliberately does not send real artists' names to music generators. Reference names you type are translated into descriptions of sound before anything is sent.
Songs, styles, bands, albums and settings are stored in your own browser, not on our servers. That means they are private to your device - and also that clearing your browsing data will erase them.
The app includes automatic backups and an export button. Use them. We cannot recover work lost from your browser, because we never had a copy.
How we handle the small amount of information we do hold is set out in our Privacy Policy.
We aim to keep the app running but do not promise uninterrupted service. It depends on third parties - hosting, payment processing and AI providers - and any of them can have an outage. We may change or remove features as the app develops.
The app is provided "as is". To the fullest extent the law allows, we are not liable for indirect or consequential loss, for lost profits or opportunities, or for work lost from your own browser storage.
Where we are liable, our total liability is limited to the amount you have paid us in the twelve months before the claim.
Nothing here limits liability that cannot lawfully be limited.
You can stop using the app at any time. We may suspend or end access if these terms are breached - for instance by reselling access or attempting to break the service. If we end your access without you having breached anything, we will refund the unused portion of what you paid.
We may update these terms. If a change materially affects you we will say so by email or in the app before it takes effect. Continuing to use the app after that means you accept the updated terms.
These terms are governed by the laws of the State of New York, United States.
